SUMMARY

The Managing Counsel serves as a legal counsel to the

Company and its management as well as supervises members of the Legal

Department in addressing legal issues and activities of the Company and its

wholly owned subsidiaries.

PRIMARY

JOB DUTIES/RESPONSIBILITIES

General

Legal Functions

Manage

and mentor the legal department staff

Advise

on issues of corporate governance and legal issues and policies of the

corporation

Provide

legal advices and explanations of United States and foreign substantive law to Company’s

managers and employees and subsidiary companies or joint venture entities or

partners within the group

Monitor

general legal and legislative activities for impact on Company’s business and

operations

Provide

updates to Executive Management for relevant or material matters

Travel,

as necessary, to support the business units and/or corporate departments

Continuously

improve our commitment to excellence in Environmental, Health, Safety and

Security performance

Other

duties as assigned by management

Compliance

Assist

in the establishment and maintenance (including training) of the Company’s

compliance programs

Assist

in the formation/dissolution of company entities as necessary for corporate

and/or tax purposes

Assist

other departments with formulating, amending, and maintaining other corporate

policies

Assist

in the review of the Company’s operational policies and procedures for

compliance with current laws and regulations

Commercial

Matters

Contract

formulation, including periodic reviews (and revision as necessary) of all

standard contracts of the Company, as well as assisting commercial management

with contract negotiations

Oversee

the maintenance and management of the database of (electronic versions of) the

legal documents, including contracts/agreements, of the Company

Review

and advise (including assisting in the negotiation of) new contracts

Advise

and assist in the negotiations for changes to standard contracts

Travel

with business unit personnel to assist in commercial negotiations and business

development activities

Draft

forms, agreements, contracts, and memorandums of understanding for the

operational and business needs of the Company

Assist

in the Collections process of the Company (including executing upon security and

filing collections lawsuits)

Litigation

Assist

in the Company’s litigation management

Assist

in the formulation of strategy and negotiation of dispute resolution

Assist

the Risk Manager in claims reporting and risk financing

Acquisition

and Corporate Finance

Participate

in the acquisition and divestiture activities of the Company, including:

Advice on transaction

structure and strategy

Advice and assistance

in the negotiation of the transaction

Assistance in the due

diligence procedure

Assistance in drafting

and negotiation of the legal documentation of the transaction

Real

Property Management

Assist

in the management of all Company owned and leased real property

Review

all real property documents (for example, all easement requests, license

requests and/or renewals, documentation clarification of real property

ownership, transfers, assignments), review of new/revised leases

Advise

management on strategy and negotiation of real property disputes

Assist

in the maintenance of real property records

Assist

in monitoring the Company’s overall environmental programs, policies,

practices, and compliance history for consistency among the various

jurisdictions

Personnel

and Employment Matters

Assist

Human Resources management on employment and labor law matters

Assist

in the development and application of the company’s employment policies

Assist

in assuring consistency of company employment practices and policies corporate-wide

Assist

in the company’s investigation, defense, and resolution in employment litigation

matters

EDUCATION

& EXPERIENCE

J.D. required

Licensed Texas attorney required

Technical bachelor degree preferred

Minimum 18 years of law experience in

business and transactional commercial and corporate law required

Minimum 18 years of professional

experience as in-house counsel in a small-to-mid-sized corporate law department

Extensive background in contracts

required

Supervisory experience required

General corporate law (i.e. Compliance,

Commercial, Acquisitions, Real Property) experience required

Employment and Labor law experience required

Environmental law and intellectual

property law experience preferred

Experience and expertise in contracting

in other countries preferred

Technology licensing or projects experience

preferred

Advanced

verbal and written communication skills and ability to relate to all levels of

the organization

Able to be self-directed and to exercise

independent judgment

Perform

duties with strict attention to detail while managing conflicting requirements

In depth knowledge of legal and

regulatory requirements related to the department work

Exhibit ethical behavior and

confidentiality
