This position works to assist one attorney in managing her business/corporate, intellectual property, and nonprofit organizations, and tax practice. The work will include the preparation of documents necessary to comply with federal, state, and local regulations in the conduct of business, nonprofit, and related activities.
Essential Job Functions
Draft Certificates of Formation and initial operating agreements; obtain EINs; file master license applications. Draft Articles of Incorporation and bylaws for corporations. Prepare corporate resolutions.
Prepare and file Articles of Incorporation and bylaws for nonprofit corporations; prepare drafts of IRS Applications for Exemption for a range of organizations. Prepare corporate resolutions.
Trademarks and Copyright.
Submit and prosecute trademark and copyright applications, perform intellectual property research, suggest options for additional applications, report on areas of Update progress in trademark software.
Manage annual renewals for business entities; draft corporate annual minutes and consents; organize minute books; accept service on behalf of clients.
Draft employee handbooks.
Initial corporate research; draft stock certificates/ ledgers, prepare documents related to stock transfers, perform due diligence.
Qualifications for the Job
Education and Experience.
Bachelor's or Associate of Arts/ Science Degree preferred, with three (3) or more years of corporate/business paralegal experience in a law firm setting.
Knowledge, Skills, and Abilities.
Legal principles in business, nonprofit, and intellectual property law; research techniques; legal and business terminology; general business
Communication, organization and time management skills, using logic and reasoning to identify strengths and weaknesses of alternative solutions, conclusions or approaches to projects; strong computer skills, with specific experience in Microsoft Word and Excel; exceptional attention to detail; experience with Clio a plus.
Ability to see the big picture, identify opportunities, recommend actions, and achieve results; ability to complete projects on time while overcoming obstacles and challenges; ability to effectively present information and respond to questions from attorneys, clients, and other firm members; ability to read, analyze, and interpret complex legal documents, statutes, and regulations.
