Act as primary focal point for all pre-bid non-disclosure agreements (NDA). In conjunction with, and subject to advice of, PWS general counsel, review, edit, and lead negotiations of pre-bid NDAs, with a focus maintaining the customer relationship while protecting Emerson intellectual property and appropriately defining Emerson’s obligations to protect any customer or third party confidential information.
Act as primary interface and focal point for all NERC CIP contractual obligations for all new and existing contracts, working in conjunction with Human Resources, Contract Negotiations, Projects, Proposals, Global Safety and Environmental, management, and any other internal stakeholders to appropriately define any Emerson contractual obligations related to our customer’s NERC CIP compliance obligations.
Negotiate NERC CIP terms with customer in conjunction with and support of Contract Negotiators. Facilitate compliance with commercial and contractual requirements of customer contracts and purchase orders.
Support project manager’s financial forecast to ensure accuracy of sales forecasts
Reduce receivables through problem identification and involvement of the appropriate internal parties
Work with other groups within the business unit to ensure that Emerson commitments to customers under a contract or purchase order are met
Monitor commercial and contractual activities and advise project manager of any issues which may affect the schedule or billings under a contract or purchase order
Provide commercial interpretation of commercial and contractual requirements of a particular contract or purchase order when requested
Respond to routine work requests from project managers
Provide additional reports and metrics as requested by the manager
Be generally aware of the project responsibilities of other Contracts Administrators and support their workload in the event of their absence
Provide additional reports and metrics as requested by his/her manager
Where applicable, recommend procedural changes to improve the contract administration process
Other duties, as assigned
Working knowledge of Project and Financial Management principles
Significant business and intellectual property law experience
Law degree preferred
Formal negotiation and/or alternative dispute resolution training','!*!The position requires a BS in an engineering, technical or business field. The position requires seven to ten years experience in Business/Commercial Law, Project Management, Engineering, and/or Contract Administration (may be combined total). Contract drafting skills required.
