Company near Downtown Houston is seeking a Legal Counsel.
This position serves as legal counsel to the Company in advising on assigned legal activities to ensure legal conformity and compliance for the Company and its wholly owned subsidiaries.
Timely and accurate review of contracts, purchase orders and other legal documents to protect Company confidential and proprietary information.
Identify and mitigate all legal risks regarding business decisions and operations as per the Company’s risk assessment policy.
Duties including but not limited to:
Advise management, business units, and employees on legal issues, policies, and corporate governance.
Provide legal advices and explanations of United States and foreign substantive law to Company’s managers, employees, and subsidiary companies.
Review contracts, purchase orders and other legal documents to protect Company confidential and proprietary information and to ensure Company’s full legal rights.
Draft and formulate new agreements, contracts, forms, memorandums of understanding and other legal documents.
Assist commercial representatives and other managers by providing both legal and commercial advice and with contract negotiations as requested,
Assist in the development and maintenance of the Company’s Intellectual Property policies and procedures.
Provide clarification of legal terms and conditions or other legal language as required.
Assist the commercial representatives and other managers in identifying and mitigating all legal risks regarding business decisions and operations as per the Company’s risk assessment policy.
Keep executive management informed by monitoring and reporting general legal and legislative activities for impact on Company’s business and operations.
Assist in the periodic review and training of the Company’s compliance programs.
Assist in the review of the Company’s operational policies and procedures for compliance with current laws and regulations.
Assist in monitoring the Company’s overall environmental programs, policies, practices, and compliance history for consistency among the various jurisdictions.
Must deal with difficult aspects of interpreting legal definitions and regulations and the applicable laws and regulations to complex fact situations and must stay up-to-date with changes in laws, regulations and case law.
Must be familiar with trans-national business issues.
Position also requires interpersonal skills to enable working well with personnel at all levels of the Company and outside parties such as government agency representatives, customer and supplier representatives.
Keeping current with Company’s technology offerings and chemical products in addition to constantly changing laws, regulations and case law, and assisting the Company in revising internal policies and procedures, as well as agreements to reflect these changes and requirements.

EDUCATION & EXPERIENCE
Professional experience in a small-to-mid-sized corporate law department setting with extensive background in contracts and license agreements
Licensed Texas attorney
Required: 5- 10 (Max) years of experience in commercial and corporate law
Desirable: A technical degree
Desirable: financial transactions, environmental law, labor law and intellectual property law experience
Travel up to 10% or more domestic & international
Able to work extended hours
